This Privacy Notice describes the privacy and data protection practices of Celona Inc. (“Celona,” “we,” “us,” or “our”). This Privacy Notice is intended to provide details regarding the information we collect and/or process through the website located at https://www.celona.io/ or any successor website (the “Site”), and any applications, Sites, or online services that link to this Privacy Notice (collectively, the “Services”), or through other communication methods such as email or phone.

This Privacy Notice does not apply to websites, applications, or services that do not display or link to this webpage, are not operated by us, or that display or link to different privacy statements.

For purposes of this Privacy Notice, personal information means information relating directly or indirectly to an identifiable individual, except as may be set forth in applicable law.

1. Personal Information Collected

We collect information about you as set forth below and through the means discussed below. Please note that we need certain types of information so that you can access our Services, or we can provide the Services you request. If you do not provide us with the required information, or ask us to delete it, you may no longer be able to access or use our Services.

While parts of the Services may not require you to provide any information that can directly identify you by name (such as simply browsing the Site), the specific types of information we collect will depend upon the Services you request or otherwise use and the information you choose to provide. The types of data we may collect include:

  • Contact information such as first and last name, email address, work address, and work phone number.
  • Customer and transaction information such as information about purchases or other transactions with us and information about your customer service interactions with us.
  • Work-related information such as employer and job title.
  • General location information such as country and/or state.
  • Usage Data as defined below under Information We Collect Through Automated Means.
  • Feedback or correspondence, such as information you provide when you contact us with questions, feedback, or otherwise correspond with us online, including chat transcripts, and contents of emails you send.
  • Marketing information, such as your preferences for receiving communications about our activities, events, and publications, and details about how you engage with our communications.
  • Packet information collected though the Services, such as LTE control messages (part of the S1AP protocol), which may in certain cases include personal information, collected at your request.
  • Other information you choose to directly provide to us in connection with our delivery of the Services to the extent you use the Services to collect information from individuals or their devices (as opposed to network devices or internet-of-things devices) or where the Services collect information about your users of the Services such IP Address, IMEI, IMSI, username, and password.

Sensitive Personal Information

Celona recognizes that certain jurisdictions have enacted laws with different requirements regarding the processing of certain sensitive personal information. “Sensitive Personal Information” includes special categories of personal information identified by Relevant Laws. Celona does not require Sensitive Personal Information from you when using the Services generally. In the cases where we do seek to collect Sensitive Personal Information, for example when conducting recruiting activities, we will seek to do so in accordance with applicable data privacy laws. Do not provide us with unsolicited Sensitive Personal Information.

Personal Information You Provide to Us

We collect information that you provide directly to us. For example, we collect information from you through:

  • The Services we provide
  • Your requests for information from us or from your other communications with us
  • Requests for customer support or technical assistance with the Services
  • Your visits to our offices, or when you attend our webinars, conferences, and other online and offline events

Information We Collect Through Automated Means

When you use the Services, we collect and analyze some information via a variety of technologies that automatically or passively collect information about the Services, such as IP address, browser type(s), location (including IP address and latitude and longitude), browser language, operating system, referring and exit pages and URLs, error log data, and other similar information (“Usage Data”).

Information Obtained From Third Parties

We may receive personal information about you from third-party sources such as marketing partners, social media and other cloud-based platforms, identity providers, publicly available sources, business partners, data providers, or third-party staffing or personnel providers.

Recruiting and Candidate Information

If you choose to apply to work with or for Celona through our Site or by otherwise contacting us regarding opportunities to become an employee, agent, or contractor for us, we may collect the following:

  • Contact information such as your first and last name, email and mailing addresses, phone number, professional title or profession, and company name if applicable.
  • Application information regarding qualifications, skills, employment or education history, or other related information provided voluntarily in response to questions and during any interviews.
  • Reference Information, such as name and contact details of your references.
  • Social Media Information, such as if you provide us a link to or other access to a social media account, we may collect or access any information you permit to be shared through or from your social media account and other information depending on the social media platform.
  • Background Check Information, subject to applicable law.
  • Compensation information that you voluntarily provide, and which may depend on your region and applicable laws and regulations.

You are responsible for the personal information you provide or make available to us. All personal information you provide, particularly in connection with our recruiting activities, must be truthful, accurate and not misleading in any way. You may not provide information that is obscene, defamatory, infringing, malicious, or that violates any law. If you provide personal information of a third party, you are responsible for providing any notices and obtaining any consents necessary for us to collect and use such personal information as described in this Privacy Notice.

2. How We Use Your Personal Information

We,or our service providers working on our behalf, may use your personal informationfor various purposes depending on the types of information we have collectedfrom you in order to:

  • Develop, provide, deliver, and improve the Services. For example, your information is hosted and processed by our Services to create an account for you and to provide wireless connectivity for your network and devices. We may use such information you provide in identified, as well as in aggregated or deidentified, form, to refine and improve the Services such as to add new features and improve the user experience.
  • Respond to your requests for information and provide you with more effective and efficient customer service and technical support. For example, we use your information to respond to your requests for information about our Services and, if you are a current customer and submit a request for technical support, to identify you as associated with a current customer, provide more accurate and personalized technical support, and to better understand your use of our Services and evaluate any support requests.
  • Market, promote, and conduct advertising for the Services. For example, we use your information to send you marketing communications via email or other contact methods where permitted by applicable law.
  • Maintain, secure, and improve current and future Services. For example, our Services may collect your information through forms that you submit and may collect information automatically about your use of the Services to inform us about Services performance, areas of improvement, and Services updates and changes we may decide to evaluate.
  • Comply with any procedures, laws, and regulations which apply to us or our processing. For example, we comply with subpoenas and other court orders to process data where we have determined there is a legal requirement for us to do so.
  • Establish, exercise, or defend our legal rights. We may process your personal information in connection with establishing, exercising, or defending our legal rights where it is necessary for our legitimate interests or the legitimate interests of others or for fraud prevention. For example, we may process information you provide to identify any fraudulent, harmful, unauthorized, unethical, or illegal activity such as use of another individual’s identity and we may use your information as necessary to defend ourselves in litigation or enforce our rights or agreements with others.
  • Conduct recruiting and hiring activities for opportunities with Celona. If you apply to work with or for Celona, we will review the information you submit to determine if your qualifications and experience match any available opportunities at Celona, to verify the information you provide, communicate with you regarding any opportunities, improve our recruiting processes, process your onboarding if hired, and comply with applicable labor and employment laws.
  • Other legitimate purposes as required or permitted by applicable law. We may process your information for other purposes consistent with those in this Privacy Notice and as may be permitted or required by applicable law.

Aggregate/Deidentified Data

We may aggregate and/or deidentify any information collected through the Services so that the information can no longer be linked to you or your device. We may use the aggregated and/or deidentified information for any purpose, including without limitation for research purposes and to promote Celona’s products and Services, and may also share such data with any third parties, including advertisers, promotional partners, and sponsors.

Cookies and Similar Technologies

To collect the information in the “Information We Collect Through Automated Means” section above, we and our service providers may use internet server logs, cookies, and similar technologies. For more detailed information, please refer to our Cookie Notice.

3. How We Share and Disclose Your Personal Information

Celona may share your personal information in the following ways:

  • Service Providers: We provide access to or share your information with select third parties who perform services on our behalf. They have access to your information to perform these services but are prohibited from using your information for other purposes. They provide a variety of services to us, including network access, data storage and/or processing, billing, sales, product content and features, research, customer service, security, fraud prevention, payment processing, marketing and advertising, and legal services.
  • Protection of Celona and Others: We may disclose the information we collect and maintain about you if required to do so by law or in a good faith belief that such access, retention or disclosure is reasonably necessary to: (a) comply with legal process (e.g., a subpoena or court order); (b) enforce this Privacy Notice, or other contracts with you, including investigation of potential violations thereof; (c) respond to claims that any content violates the rights of third parties such as rights of privacy or intellectual property; (d) respond to your requests for customer service; and/or (e) protect the rights, property or personal safety of Celona, its agents and affiliates, its users and/or the public. This includes exchanging information with other companies and organizations for fraud protection, spam/malware prevention, and similar purposes.
  • Partners: We may share your information with partners such as distribution or joint marketing partners pursuant to our agreements with those parties. For example, if we engage with a reseller or another company, we may share your information with such parties so they may contact you directly or if you participate in a webinar or trade show featuring, including, or related to Celona, we may share your information with other participants or vendors in connection with those events such as other companies featured in a webinar or sponsors of a trade show.
  • Consent: We may share your information when we have your consent.
  • Business Transfers: As we continue to develop our business, we may buy, merge, or partner with other companies. In such transactions (including in contemplation of such transactions), user information may be among the transferred assets. If a portion or all of our assets are sold or transferred to a third-party, customer information (including information processed in accordance with this Privacy Notice) may be one of the transferred business assets. If such transfer is subject to additional mandatory restrictions under applicable laws, we will comply with such restrictions.
  • Aggregate/Deidentified Information: From time to time, we may share aggregate/deidentified information about use of the Services, such as by publishing a report on usage trends. The sharing of such data is unrestricted.
  • Intracompany: We may share your information with our affiliates and subsidiaries to operate our business, for example, if we establish a presence in a country outside of the USA, we may share your information with our subsidiaries and affiliates in such other countries.

3. How We Share and Disclose Your Personal Information

Celona may share your personal information in the following ways:

  • Service Providers: We provide access to or share your information with select third parties who perform services on our behalf. 4. Retention of Your Personal Information

We may retain your personal information both during and after the time you are our customer, but we typically keep it no longer than needed. For example, we may retain contact information after you are a customer to maintain our internal financial or transactional records, to communicate with you about our relationship, or in cooperation with law enforcement agency requests. We may retain information collected automatically only while the account is active.

The length of time for which we retain information depends on the purposes for which we collected and used it, requirements of applicable laws, the amount, nature, and sensitivity of the information, the potential risk of harm from unauthorized use or disclosure of the information, the resolution of any pending or threatened disputes, and enforcement of our agreements.

When we no longer require the personal information, we will either delete or deidentify it or, if this is not possible, securely store it in accordance with this Privacy Notice and cease use of the personal information until deletion is possible. If we deidentify your personal information (so that it can no longer be associated with you and thus is no longer considered personal information under Relevant Laws), we may retain this information for longer periods

5. How We Protect your Personal Information

Celona takes technical and organizational security measures to protect the information provided via the Services from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. The safety and security of your information also depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of our Services, you are responsible for keeping this password confidential. Do not share your password with anyone.

Unfortunately, the transmission of information via the internet is not completely secure. Although we use measures to protect your personal information, we cannot guarantee the security of your personal information transmitted to our Services. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures.

6. Children’s Privacy

The Services are intended for general audiences and not for children under the age of 18. If we become aware that we have inadvertently collected or received personal information from children under the age of 18 without valid parental consent, we will take reasonable steps to delete it as soon as possible. We do not knowingly process data of children under the age of 18 without parental consent.

7. Users Located Outside the United States

Our Services are hosted in and provided from the United States, and your use of our Services is governed by United States law. If you are using the Services from outside the United States, please be aware that your information may be transferred to, stored, and processed in the United States where our systems and facilities, and those of our third-party providers and recipients of information, are located. The data protection and other laws of the United States and other countries might be different than those in your country. By using Services, you consent to your information being transferred to our systems and facilities, and to the systems and facilities of those third parties with whom we share information, as described in this Privacy Notice.

8. Rights and Choices

Choosing Not to Share Your Personal Information

You may choose not to provide personal information. If you choose not to provide personal information (or ask us to delete it), we may not be able to provide you with our Services or certain functionality of the Services. We will tell you what information you must provide to receive the Services’ functionality by designating it as required at the time of collection or through other appropriate means.

Marketing Communications and Sharing

You may instruct us not to use your contact information to contact you by email, postal mail, or phone regarding Services, promotions, surveys, and special events that might appeal to your interests by following the instructions located at the bottom of any commercial emails you may receive, or by emailing us as set forth below. Please note that, regardless of your request, we may still use and share certain information as permitted by applicable law. For example, you may not opt out of certain operational or transactional emails, such as those reflecting our relationship or transactions with you, or important notifications regarding the Services we are providing to you.

9. Third-Party Sites and Applications

Our Services may provide links to or make available integrations with third-party websites or applications (“Third-Party Sites”). Such Third-Party Sites are outside our control and not covered by this Privacy Notice. Celona is not liable for any information, content, products, services, software, or other materials available on or through Third-Party Sites. The use of a Third-Party Site or any information or other content found on Third-Party Sites is subject to and governed by the terms and conditions of such Third-Party Sites. We encourage you to review the privacy notices posted on such Third-Party Sites.

10. Changes to Our Privacy Notice

We reserve the right to amend this Privacy Notice at any time to reflect changes in the law, our data collection and use practices, our Services, advances in technology, and for other purposes. We will make the revised Privacy Notice accessible through the Services, so you should review the Privacy Notice periodically. The “Last Updated” date included at the end of this Privacy Notice will indicate when it was last updated. If we make a material change to the Notice, you will be provided with appropriate notice in accordance with legal requirements. 12. GDPR/UK Regional Notice

This Regional Privacy Notice (“Regional Notice”) is provided as a supplement to the Celona Privacy Notice to provide additional information to individuals in the European Economic Area and the United Kingdom (together, “Europe”) as required under Relevant Laws. This notice includes information such as our purposes for personal information processing, the rights you have regarding our processing of your personal information, and how to contact us if you have any questions regarding our processing of your personal information. This Regional Notice is governed by and subject to the foregoing Privacy Notice.

Personal information collected on or about individuals located in Europe is collected on the following legal bases for processing:

  • Necessary for Performance of a Contract: If we or our affiliates have entered into a contract with customers, partners, suppliers or other third parties, we may need to process your personal information. We also may need to process your personal information to enter into a contract with you for employment purposes.
  • Consent: Where you have provided your consent for us to engage in marketing activities with you, we may need to process your personal information or where you have provided us with explicit consent to process your sensitive or special categories of information in connection with our recruiting activities. We also may need to process your personal information to evaluate your candidacy for a job with us, if you send us inquiries or application materials for employment purposes.
  • Legitimate Interest: We may need to process your personal information where we have a legitimate interest in doing so, such as (1) to communicate with you in response to your requests, questions, inquiries, and submissions; (2) to conduct advertising, marketing and promotional activities in connection with operating our business; (3) for research and development, operation, security and optimization of our Services and business; (4) to process a job application, conduct recruiting activities, develop and improve our recruiting process, and communicate with you regarding your interest in current or future employment opportunities with us; and (5) for fraud prevention and know-your-customer obligations.
  • Comply with Legal Obligations: We process personal information insofar as we are required to comply with laws or legal obligations, such as replying to requests from law enforcement.
  • Vital Interests: We process personal information insofar as is necessary to protect someone’s life, or mitigate against a serious threat to a person, such as a child or a missing person.

Individuals located in Europe have certain rights related to the processing of their personal information we process, as set forth below:

  • Access: You may request to receive a copy of your personal information in machine-readable form.
  • Delete: You may request we delete some personal information, subject to certain exceptions.
  • Correct or Rectify: You may correct or change some personal information that we store about you; in particular, to correct inaccurate information.
  • Object to or Restrict Processing: You may object to our processing of some personal information about you or restrict or limit our use of some personal information about you.
  • Transfer: You may request, to the extent feasible, the transfer of your personal information to another data controller.
  • Consent Withdrawal: You may withdraw consents you previously granted to us.
  • Automated Decision-Making: You have the right not to be subject to automated decision-making, including profiling, which produces legal effects concerning you or similarly significantly affects you, with certain exceptions. We do not generally engage in such automated decision-making in our Services, and if we do, we comply with applicable legal requirements in connection with such data processing. Please note that any automated decision-making conducted by gaming license agencies and other government authorities, for example in approving or denying your gaming license application, is undertaken by such entities and not by Celona.

Certain other details regarding the processing of personal information that individuals located in Europe may be entitled to receive are contained in other provisions of the Celona Privacy Notice.

Please contact us to exercise your rights above. Please note that some functionality may not be available, or we may not be able to fulfill your request, depending on our legal obligations. For example, we may not be able to delete or anonymize all data as we may be legally required to retain certain data or retain certain data in identifiable form. If functionality to exercise your rights is not available to you directly, or you have any concerns about how we process your data under the Relevant Laws, you may contact us at privacy@celona.io or at the contact information below. Please note that depending on the nature of your request, we may notify our customer who may have a direct relationship with you. We may not be able to respond to your request if we cannot verify your identity. Relevant Laws may require us to verify your identity. If an authorized agent submits a request on your behalf, we may need to contact you to verify your identity and protect the security of your personal information. If you wish to file a complaint about our use of your personal information or our response to your requests regarding your personal information, you may contact the data protection or other Supervisory Authority in your region.

Transfers of Personal Information

At least some of our Services are hosted in and provided from the United States, and your use of our Services is governed by United States law. If you are using the Services from outside the United States, please be aware that your information may be transferred to, stored, and processed in the United States where our systems are located. The data protection and other laws of the United States and other countries might not be as comprehensive as those in your country. By using the Services or applying for a position with Celona, you consent to your information being transferred to our systems and facilities, and to the systems and facilities of those third parties with whom we share information as described in this Regional Notice. If personal information is transferred to a recipient in a country that does not provide an adequate level of protection for personal information under the Relevant Laws, we will take measures designed to adequately protect your personal information, such as ensuring that such transfers are subject to the terms of the EU Standard Contractual Clauses or their equivalent under Relevant Laws.
